Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website staycomplied.in (“Platform”) and the services provided by Sapiex Technologies Pvt. Ltd. (“Company”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

StayComplied provides regulatory intelligence tools for Indian Non-Banking Financial Companies (NBFCs) and Urban Cooperative Banks (UCBs), including:

• Compliance checklists derived from RBI Master Directions
• Penalty intelligence and early warning analytics
• Master Direction version tracking and diff engine
• Regulatory Q&A engine
• Compliance health scoring and board dashboards
• Free client-side tools (CRAR Calculator, NPA Classifier)

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

StayComplied is built on a zero customer-data-on-server principle. The Platform delivers regulatory parameters, rules, and intelligence to your browser. Any computation involving your institution’s data (financial inputs, loan figures, portfolio data) happens entirely on your device.

Data entered into our client-side tools (CRAR Calculator, NPA Classifier, and similar free tools) is processed in your browser and is never transmitted to our servers.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Platform, other accounts, or systems connected to the Platform
• Interfere with or disrupt the Platform or servers or networks connected to the Platform
• Scrape, crawl, or use automated means to access the Platform without our prior written consent
• Reproduce, duplicate, copy, sell, or resell any portion of the Platform or its content without our express written permission
• Misrepresent your identity, institution affiliation, or authority to access the Platform

All content on the Platform — including text, graphics, logos, software, data compilations, and the design and arrangement thereof — is the property of Sapiex Technologies Pvt. Ltd. or its licensors and is protected by Indian and international intellectual property laws.

RBI circulars, Master Directions, and other regulatory texts referenced on the Platform are public documents of the Reserve Bank of India. Our value-add lies in the structuring, mapping, analysis, and presentation of this regulatory data — not in the underlying regulatory text itself.

We process new RBI circulars within 24 hours of publication and maintain version history for all 244 Master Directions. However:

• We do not guarantee that the Platform reflects every regulatory update at all times
• Obligation mappings are AI-assisted and may contain errors — always verify against the original RBI source text
• Health scores and compliance assessments are indicative, not definitive
• The Platform is not a substitute for your institution’s internal compliance function or external legal counsel

We strive to keep the Platform available at all times but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from Platform downtime.

To the maximum extent permitted by applicable Indian law:

• The Platform and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied
• We do not warrant that the Platform will be error-free, secure, or uninterrupted
• In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total liability for any claims arising from your use of the Platform shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim

You agree to indemnify and hold harmless Sapiex Technologies Pvt. Ltd., its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

We may update these Terms from time to time. Material changes will be communicated via the Platform or email. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms.

We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.
